PART B — BINDING ARBITRATION AGREEMENT & CLASS ACTION WAIVER

You and GDI USA agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product or service purchased from GDI USA (collectively, "Disputes") will be resolved exclusively through binding individual arbitration, except as provided below.

15. Exceptions to Arbitration

Either party may bring:

An individual action in small claims court;

A claim for injunctive or other equitable relief in court to stop unauthorized use or intellectual property infringement.

16. Class Action Waiver

YOU AND GDI USA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

17. Arbitration Rules & Location

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Travis County, Texas, unless you and GDI USA agree otherwise. The arbitrator's decision will be final and binding. Judgment on the award may be entered in any court with jurisdiction.

18. Opt-Out

You may opt out of this Arbitration Agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you do not wish to resolve disputes through arbitration.

PART C — ADDITIONAL TERMS

19. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

20. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

21. Entire Agreement
